STATUTES OF THE LITHUANIAN ASSOCIATION OF TEACHERS OF ECONOMICS

1.1. The Lithuanian Association of Economics Teachers (hereinafter the Association) is an independent public organization that unites economics teachers to meet and implement common needs and goals.
1.2. Name of the association: Lithuanian Association of Economics Teachers.
1.3. Headquarters of the Association: Vilnius College, Naugarduko str. 5, Vilnius.
1.4. The Association operates in accordance with the Constitution of the Republic of Lithuania, the Civil Code of the Republic of Lithuania, the Law on Public Organizations of the Republic of Lithuania, other laws, legal acts and these Articles of Association.
1.5. The Association is a public legal entity with limited property liability from the date of registration of its Articles of Association, which has its own stamp, symbols and bank accounts. In accordance with its obligations, it is liable only with all its assets. The members of the Association are liable under the obligations of the Association only for the amount of paid taxes.
1.6. The Association is established for an indefinite period of time and operates throughout the territory of the Republic of Lithuania.
1.7. The association has organizational, financial and legal autonomy.

  • Scope and objectives

2.1. To unite Lithuanian economics teachers, coordinate the activities of the Association members, represent and defend the interests of the Association members.
2.2. To take care of teachers' professional development.
2.3. Encourage teachers to share information and ideas.
2.4. Organize competitions for economic knowledge.
2.5. To cooperate with the administration, other organizations in organizing scientific-practical conferences, seminars, lectures, courses.
2.6. Communicate and collaborate with social partners and their associations.
2.7. Represent the Association and participate in international organizations.

  • Rights, duties, responsibilities of the Association

3.1. The Association may have and acquire only such civil rights and obligations that do not contradict the laws, the Articles of Association and the objectives of its activities.
3.2. The Association has the right to:
3.2.1. Disseminate information about your activities, promote the goals of the organization.
3.2.2. Have bank accounts in accordance with the law.
3.2.3. Manage, use the property belonging to it.
3.2.4. Conclude contracts, make commitments.
3.2.5. Establish foundations, media, training centers, engage in publishing.
3.2.6. To establish (be a founder) companies registered and operating in accordance with the laws of the Republic of Lithuania.
3.2.7. To receive funds from international public organizations, non-governmental organizations, foundations, as well as individuals for the implementation of the objectives of the Association.
3.2.8. Join international organizations.
3.3. The association is not allowed to:
3.3.1. To perform the functions of the state, its institutions or officials.
3.3.2. Perform trade union functions.
3.3.3. To promote violence, restrict human rights and freedoms, organize military training, establish military units.

  • Members of the Association, their rights and obligations

4.1. Members of the Association may be adult citizens of the Republic of Lithuania and foreigners permanently residing in the Republic of Lithuania, who recognize these Articles of Association and participate in the activities of the Association.
4.2. Honorary members of the Association are elected at the general meeting of the members of the Association.
4.3. Members of the Association have equal rights.
4.4. Members of the Association have the following rights:
4.4.1. Attend and vote at the General Meeting of the Association.
4.4.2. To elect and be elected to the governing bodies.
4.4.3. To get acquainted with the documents of the Association and to receive all the information available to the Association about its activities.
4.4.4. To use the services provided by the Association.
4.4.5. The founders of the association become its members according to the list.
4.4.6. Leave the Association.
4.5. Duties of the members of the Association:
4.5.1. Comply with the Articles of Association.
4.5.2. Pay the membership fees of the Association and the current membership fees on time.
4.5.3. Not to carry out activities that are incompatible with the goals of the Association.
4.5.4. To implement the decisions of the General Meeting of the Association.
4.6. The title of honorary member of the Association is awarded to Lithuanian and foreign citizens with special merits to the Lithuanian economy:
4.6.1. Honorary members are elected by the general meeting of members.
4.6.2. Honorary members do not pay taxes.
4.6.3. Honorary members have the right to participate in the activities of the Association with the right of advisory vote.

  • Procedures and conditions for admission, withdrawal or expulsion of members

5.1. A person who has written an application and acknowledges its articles of association may become a member of the Association.
5.2. The amount of the membership fee and the current membership fee and the procedure for their payment shall be determined by the general meeting of members.
5.3. A member may be expelled from the Association if he does not comply with these Articles of Association and his activities are incompatible with the objectives of the Association. Disputes are resolved by the General Meeting of the Association.
5.4. Membership in the Association is recorded in the lists of members. The President of the Association is responsible for the lists and documents of the members.
5.5. Members who withdraw or are expelled shall not be reimbursed for the membership fees paid by them. Resigned and expelled members of the Association are not entitled to the property of the Association.

  • Bodies of the Association, their competence

6.1. The highest body of the Association is the General Meeting of its members.
6.2. General meeting:
6.2.1. Adopts, amends and supplements the Articles of Association.
6.2.2. Establishes the objectives of the Association, the program of activities and the procedure for its control.
6.2.3. Determines the amount of the fee, target contributions and payment procedure of the members of the Association.
6.2.4. Authorizes the President of the Association to submit the adopted, amended or supplemented Articles of Association for registration.
6.2.5. Elects the President and Auditor of the Association.
6.2.6. Approves the annual financial statements of the Association.
6.2.7. Hears the reports of the President and the Auditor of the Association.
6.2.8. Makes decisions on reorganization, reorganization and liquidation of the Association.
6.2.9. Elects honorary members.
6.3. General meetings are convened at least once a school year. An extraordinary meeting is convened when requested by at least one-fifth of the members of the Association.
6.4. A meeting is valid if more than half of the members of the Association are present. Decisions shall be taken by simple majority, except for decisions on amendment of the Articles of Association, reorganization or liquidation of the Association. In the latter case, decisions shall be taken by a two-thirds majority.
6.5. If there is no quorum at the meeting, a repeated meeting shall be convened not later than one month later, which shall have the right to take decisions.
6.6. President of the Association:
6.6.1. Convenes general meetings (including extraordinary ones) in accordance with the procedure provided for in the Articles of Association, proposes the agenda and rules of procedure of the meetings.
6.6.2. Approves and amends its rules of procedure.
6.6.3. Decides on the admission, withdrawal and expulsion of members.
6.6.4. If necessary, initiates amendments and supplements to the Articles of Association.
6.6.5. Edits, harmonizes with the applicable laws and submits for registration adopted, amended or supplemented articles of association.
6.6.6. If necessary, listens to the auditor's reports and makes decisions.
6.6.7. Prepares and submits annual financial statements and business plans to the general meeting for approval.
6.6.8. Approves cooperation and economic agreements with legal and natural persons.
6.6.9. Publishes public information about the activities of the Association.
6.6.10. Represents the Association in court, state government and management institutions, in relations with other natural and legal persons.
6.6.11. According to the law, it is responsible for all obligations of the Association, financial and statistical accounting and its submission to the state control and statistical accounting institutions. The President resigns by submitting a written request and stating the reason (the decision is taken by the General Meeting).
6.7. Auditor of the Association:
The auditor controls the financial activities of the Association. He must:
6.7.1. To check the annual financial statements of the Association and other documents of financial accounting activities.
6.7.2. To perform financial accounting audits of the Association by order of the General Meeting of Members.
6.7.3. Report any irregularities identified during the inspection to the next general meeting of members.
6.7.4. To submit to the General Meeting of Members the annual report on the audit of the financial activities of the Association.

  • Assets and income of the Association

7.1. The Association may own buildings, vehicles, equipment and other assets necessary for the activities provided for in its Articles of Association.
7.2. Sources of income of the Association:
7.2.1. Members' contributions, membership fees and targeted contributions.
7.2.2. Funds donated (donated) by natural and legal persons, support funds.
7.2.3. Funds donated (donated) by non-governmental organizations and international public organizations.
7.2.4. Other legally received funds and assets.
7.3. The funds of the Association shall be used for the implementation of the goals and objectives provided for in these Articles of Association and may not be distributed to the members of the Association in any form.

  • Terms of activity of the Association, reorganization and liquidation procedure

8.1. Issues of reorganization or liquidation of the Association are decided by the General Meeting of Members. The Association is reorganized or liquidated on the grounds of liquidation of the legal entity established in the Civil Code of the Republic of Lithuania.
8.2. The Association may be reorganized by a resolution of the General Meeting.
8.3. Reorganization of the Association requires an assessment of its assets, the conclusions of which must be submitted in writing by the auditor before the general meeting of members at which the reorganization is to be considered.
8.4. After the reorganization, the rights and obligations of the Association are taken over by the existing new associations. The procedure and terms of acceptance of rights and obligations shall be determined by the general meeting of members.
8.5. The grounds for liquidation of the Association may be:
8.5.1. Resolution of the General Meeting of Members.
8.5.2. Court decision to liquidate the Association for violations of law established by law.
8.6.7. The body or institution that has decided (decided) to liquidate the Association shall appoint a liquidator, determine its powers, terms of liquidation, inventory and takeover procedure. Upon the appointment of the liquidator, the Association acquires the status of the Association in liquidation, the management bodies lose their authority to manage, and their functions are performed by the liquidator.
8.7. Upon liquidation of the Association, the liquidator must draw up a liquidation deed, deregister the Association, return the certificate to the registry administrator who issued it.
8.8. Upon liquidation of the Association, the assets and funds remaining after payment of debts shall be used in accordance with the procedure established by law.
8.9. The reorganization and liquidation of the Association shall be announced publicly, and each member of the Association shall be informed in writing.
