Statutes of the Association of Lithuanian Economics Teachers

I. GENERAL PROVISIONS
1. The Lithuanian Association of Economics Teachers (hereinafter - the Association) has limited civil liability
public legal entity, whose legal form is an association.
2. The activity period of the association is unlimited.
3. The financial year of the association is January. 1 d. - December on the 31st
II. GOALS, AREAS AND TYPES OF ASSOCIATION ACTIVITIES
4. Activity goals of the association: professional development. Fields of activity: higher non-university
science.
III. MEMBERSHIP IN THE ASSOCIATION, RIGHTS AND OBLIGATIONS OF ASSOCIATION MEMBERS
5. Active natural and legal persons who have reached the age of 18 can be members of the association, having submitted
application to the manager to join the Association, having committed to comply with the requirements of the statutes and the general meeting
after paying the entrance fee of the prescribed amount in the prescribed manner.
6. Entry fees, membership fee payment procedure, withdrawal, removal from Association members
the procedure is approved by the decision of the general meeting of members.
7. The rights of association members do not differ from those specified in the Law on Associations of the Republic of Lithuania (hereinafter
– Law on Associations).
8. Duties of association members:
8.1. comply with the Association's statutes;
8.2. to carry out the resolutions of the general meeting of members, the manager;
8.3. participate in general meetings of members.
IV. BODIES OF THE ASSOCIATION
9. The bodies of the association are:
9.1. general meeting of members;
9.2. single-person management body of the Association - manager;
9.3. auditor.
10. The competence of the general meeting of members, as well as the competence of the management body, does not differ from
specified in Article 2.82 of the Civil Code of the Republic of Lithuania and the Law on Associations.
11. The general ordinary meeting of members is convened by the manager once a year, no later than 4 months after the end of the financial year. The manager notifies every member about the convened general meeting no later than 20 days before the day of the meeting in accordance with the procedure specified in point 18 of the articles of association. If there is no quorum at the general meeting, a repeated general meeting of members is convened within 10 days, which has the right to make decisions on the issues of the agenda of the meeting that did not take place. A general meeting of members may be convened outside of these deadlines if at least 2/3 of the Association's members agree in writing.
12. The general meeting of members can make decisions when more than 1/2 are present
Association members. At least 2/3 of those participating in the meeting are required to make decisions
The votes of the members of the Association, when a decision is made to change the Articles of Association, to reorganize,
reorganize or liquidate the Association.
13. An extraordinary general meeting of members can be initiated and organized by an initiative group formed by no
less than 2/3 of the members, or the leader.
V. USE OF ASSOCIATION FUNDS AND INCOME AND ASSOCIATION ACTIVITIES
CONTROL PROCEDURE
14. Funds and income are used to implement the goals of the Association.
15. Within 4 months, the manager must prepare and present to the regular general meeting of members a report on the activities of the previous financial year.
16. The control of the association's activities is carried out by the person elected by the general meeting of members for a period of 1 year
auditor.

VI. ASSOCIATION NOTICES AND ANNOUNCEMENTS
17. When the announcements of the Association are to be published publicly, they are published in the authorized publication of the Register Center of VĮ
in the electronic publication "Public announcements of legal entities".
18. Decisions and reports of association bodies, other necessary information are sent to members
by email or post. All information is available to members of the Association
in the residence.
19. Approves the procedure for submitting documents and other information about the Association's activities to members
general meeting of members.
20. Association documents, their copies or other information are provided to members free of charge.
VII. ESTABLISHMENT OF ASSOCIATION BRANCHES AND REPRESENTATIVE OFFICES AND THEIR ACTIVITIES
TERMINATION PROCEDURE
21. The decision to establish the Association's branches and representative offices, terminate their activities, appoint and cancel branches and
the heads of representative offices are accepted, as well as the regulations of branches and representative offices are approved by the head of the Association,
in accordance with legislation.
VIII. PROCEDURE FOR CHANGING THE ASSOCIATION'S STATUTES
22. The statutes of the association are changed by the decision of the general meeting of members.
IX. PROCEDURE FOR CHANGING THE SEAT OF THE ASSOCIATION
23. The seat of the association is changed by the decision of the general meeting of members.
X. REORGANIZATION AND TERMINATION OF THE ASSOCIATION
24. If there are less than 3 members left in the Association, within 30 days the Association must notify the Register of Legal Entities about such a decrease in members.
25. The association is restructured, terminated (reorganized or liquidated) in accordance with the procedure established by the Civil Code.
